Wholesale Terms & Conditions

These terms apply to wholesale purchases of Draw It Out® and affiliated brands by approved dealers, distributors, and resellers. By placing an order, you agree to these terms.

What these terms cover

These terms govern wholesale account eligibility, ordering, pricing, payment, shipping, returns, brand use, marketplaces, claims compliance, warranty limitations, recalls, and account suspension or termination.

  • Wholesale approval is discretionary and non-transferable unless agreed in writing.
  • Orders are accepted only when confirmed or shipped.
  • Public advertised pricing must follow the current MAP policy.
  • Marketplace activity requires written authorization.

1. Eligibility and account setup

Account approval and maintenance

  • Wholesale status is granted at Draw It Out®’s discretion to legitimate retailers, veterinarians, farriers, tack shops, distributors, and qualifying program operators.
  • Application materials may include business information, resale certificate or tax ID, sales channels, references, and storefront or listing verification.
  • Partners must notify Draw It Out® within 10 days of material changes in ownership, address, payment method, or sales channels.
  • Wholesale approval is non-exclusive and non-transferable unless otherwise agreed in writing.
2. Orders and acceptance

How orders are handled

  • Orders may be placed through approved dealer channels, including dealer portal and approved email ordering methods.
  • Minimums, case packs, and line-sheet requirements may apply.
  • Orders are accepted only when confirmed in writing or shipped.
  • Draw It Out® may reject, allocate, partially ship, or backorder based on availability unless the order is marked ship complete.
  • Orders that are already picked or packed may not be changed or canceled without written consent.
3. Pricing, MAP, and promotions

Public price standards

  • Current wholesale pricing is governed by the current line sheet or dealer portal.
  • Public advertised pricing must comply with the current MAP Policy Guide.
  • Brand-run promotions may be mirrored only within the dates and mechanics explicitly announced by Draw It Out®.
  • Private targeted offers may be used only when they do not create visible public sub-MAP pricing.

MAP violations may trigger shipment holds, marketplace action, or account-level enforcement.

4. Payment and credit terms

5. Shipping, title, and risk

Freight and delivery standards

  • Shipping method is carrier-calculated unless otherwise agreed in writing.
  • Title and risk of loss pass at the shipping point when the carrier receives the goods, unless a separate written agreement states otherwise.
  • Estimated lead times and ship dates are not guaranteed.
  • Freight damage should be noted with the carrier at delivery and reported promptly.
6. Inspection, shortages, and returns

Receiving and claims process

  • Partners must inspect shipments upon receipt.
  • Shortages, concealed damage, and mis-ships must be reported within 5 business days with photos and PO or invoice reference.
  • Returns require a Return Merchandise Authorization.
  • Unauthorized returns may be refused.
  • Opened, closeout, expired, custom, or non-resalable product is not returnable unless the error originated with Draw It Out®.
7. Brand use and advertising

Assets, copy, and claims boundaries

  • Only approved logos, product images, and official brand copy may be used.
  • Medical, drug-like, cure, or disease-treatment claims are not allowed.
  • Where applicable, safety language such as intact-skin-only, external-use-only, and keep-out-of-eyes guidance must be preserved.
  • User-generated content and ambassador disclosures must follow current FTC requirements and the Team DIO™ Policy.
8. Marketplaces

Marketplace activity requires written authorization

  • No Draw It Out® product may be listed on a marketplace without written approval.
  • Listings must use the correct ASIN or equivalent listing structure where applicable.
  • Duplicate listings, unauthorized bundles, and variant structures used to bypass policy are not allowed.
  • Marketplace-visible pricing, badges, strike-throughs, and coupons must remain MAP compliant.
9. Compliance and claims

Regulatory and operational compliance

  • Partners are responsible for compliance with applicable advertising, labeling, tax, privacy, and channel laws.
  • Bribery, kickbacks, and unlawful inducements are prohibited.
  • Sales or shipments to sanctioned parties or destinations are prohibited.
  • Upon reasonable notice, partners must cooperate with documentation requests related to MAP or channel-compliance review.
10. Warranty, indemnity, and liability

Liability framework

  • Products are warranted to materially conform to Draw It Out® specifications at shipment.
  • Except as expressly stated, products are otherwise provided as is to the maximum extent permitted by law.
  • Partners indemnify Draw It Out® against claims arising from misuse, mislabeling, unauthorized claims, improper storage, or non-compliance.
  • Total liability is limited to the amounts paid for the affected products in the 6 months preceding the claim.
  • Indirect, special, incidental, punitive, and consequential damages are excluded to the maximum extent permitted by law.
11. Recalls and safety actions

Traceability and cooperation

  • Partners must cooperate with any recall, quarantine, or field action directed by Draw It Out®.
  • Partners must maintain sell-through records sufficient to support customer notification if needed.
12. Term, suspension, and termination

Account status

  • Wholesale status may be suspended or terminated by either party upon written notice, with or without cause, unless otherwise stated in a separate written agreement.
  • Immediate suspension may occur for unpaid invoices, MAP violations, unauthorized marketplace activity, or other material non-compliance.
  • After termination, the partner must stop representing itself as authorized and stop using brand assets, except as expressly allowed for compliant sell-through of remaining inventory.
13. Miscellaneous

General contract terms

  • Nothing in these terms creates a franchise, joint venture, or agency relationship.
  • Accounts and rights may not be assigned without written consent.
  • Notices may be delivered by email on file or through approved dealer channels.
  • Neither party is liable for delay caused by events beyond reasonable control.
  • If any term is unenforceable, the remainder remains in effect.
  • These terms may be updated by posting a revised effective date on this page. Continued ordering after the effective date constitutes acceptance.
  • These terms, together with the dealer agreement, line sheet, MAP policy, and other posted partner policies, form the controlling policy set.

Governing law and venue should match the controlling dealer agreement and related written account documents.
